Nazara Technologies approved a 733.5 crore rupee preferential issue at 306 rupees a share, to be subscribed entirely by the founders and senior leadership of Bluetile Games and BestPlay Systems.
Raymond Albaladejo Stauffer, the Bluetile founder who becomes Nazara's chief executive from 1 September subject to regulatory approvals, takes about 583.5 crore rupees of it. The issue price references a relevant date of 31 July under SEBI's issue of capital and disclosure requirements rules. The structure is what separates this from a routine raise: Nazara UK is acquiring Bluetile and BestPlay for roughly 303 million dollars in fixed consideration, and the sellers are recycling a large part of that cash straight back into Nazara equity rather than taking it off the table. An incoming chief executive putting 583 crore rupees of his own sale proceeds into the acquirer's stock is a harder alignment signal than an earn-out clause.
